Οικονομική Συμφωνία

Όπως έχει γνωστοποιηθεί, την Παρασκευή 12 Μαΐου 2006 ολοκληρώθηκαν και υπογράφηκαν στο Λονδίνο η οικονομική συμφωνία και τα άλλα σχετικά έγγραφα, για την ανέγερση, ανάπτυξη και λειτουργία των αεροδρομίων Λάρνακας και Πάφου για περίοδο 25 ετών, με τη μέθοδο Β.Ο.Τ. Η υπογραφή έγινε μεταξύ της Κυβέρνησης της Κυπριακής Δημοκρατίας, εκπροσωπούμενης από τον Υπουργό Συγκοινωνιών και Έργων κ. Χάρη Θράσου και τον Γενικό Διευθυντή του ιδίου Υπουργείου κ. Μάκη Κωνσταντινίδη, στην παρουσία και άλλων Κρατικών Λειτουργών, και της Hermes Airports Ltd, εκπροσωπούμενης από τον Πρόεδρό της κ. Νίκο Κ. Σιακόλα, τον Αντιπρόεδρο κ. Daniel Rigout και άλλων Αξιωματούχων της Εταιρείας και των Τραπεζικών Οργανισμών, οι οποίοι θα χρηματοδοτήσουν το έργο.

Έναρξη και Εφαρμογή των Συμφωνιών

Με την υπογραφή των Συμφωνιών έχουν ικανοποιηθεί όλες οι σχετικές προϋποθέσεις και έτσι η συμφωνία που υπογράφηκε στις 8 Ιουλίου 2005 τέθηκε σε πλήρη εφαρμογή από την Παρασκευή 12 Μαΐου 2006. Κατόπιν τούτου, η Hermes Airports Ltd, συνεργαζόμενη με τις αρμόδιες Αρχές των Αεροδρομίων Λάρνακας και Πάφου, ανέλαβε τη διαχείριση και των δύο Αεροδρομίων για περίοδο 25 ετών.

Συμμετοχή στην Hermes Airports Ltd

Η Cyprus Trading Corporation Public Ltd συμμετέχει στο Κεφάλαιο της Hermes Airports Ltd με ποσοστό 11,34% και έχει ήδη καταβάλει ολόκληρο το Κεφάλαιο που της αναλογεί, με άνοιγμα ανέκκλητης Τραπεζικής Πιστωτικής Επιστολής ύψους 6.860.700 Ευρώ, πληρωτέας την 31η Μαρτίου 2011. Την CTC εκπροσωπεί στην Hermes Airports Ltd ο Εκτελεστικός της Πρόεδρος κ. Νίκος Κ. Σιακόλας ο οποίος είναι και Πρόεδρος της Hermes Airports Ltd.

Εμπορική Δραστηριότητα

Όσον αφορά το λιανικό εμπόριο και στα δύο αεροδρόμια, στο σύνολό του ανατέθηκε στην Εταιρεία CTC-ARI Airports Ltd, 50% της οποίας ανήκει, στη CTC (20%), στη Woolworth (20%) και στην N.K. Shacolas (Holdings) Ltd (10%). Το υπόλοιπο 50% της Εταιρείας CTC-ARI Airports Ltd, ανήκει στην Εταιρεία AerRianta International (Middle East) WLL που είναι εξειδικευμένη στον τομέα αυτό. Κατά συνέπεια, η CTC-ARI Airports Ltd, αναλαμβάνει τη διαχείριση και λειτουργία της εμπορικής αυτής δραστηριότητας και των δύο Αεροδρομίων για περίοδο 25 ετών από την 1η Ιουλίου 2006. Τα αρχικά Κεφάλαια που χρειάζονται, έχουν ήδη κατατεθεί.

Ανέγερση των νέων Αεροδρομίων

Η έναρξη των εργασιών για την ανέγερση των δύο νέων Αεροδρομίων αρχίζει εντός των προσεχών λίγων ημερών και αναμένεται, το μεν νέο Αεροδρόμιο Πάφου να ολοκληρωθεί και να λειτουργήσει πριν από το τέλος του 2008, το δε νέο Αεροδρόμιο Λάρνακας πριν το τέλος του 2009. Οι εργολαβίες, οικοδομές και βασικός εξοπλισμός έχουν ήδη ανατεθεί στη Γαλλική εταιρεία Bouygues Batiment Ιnternational, συνεργαζόμενη με τη Γαλλική Egis Projects S.A. Ανατέθηκαν υπεργολαβίες στις κυπριακές Εταιρείες Iacovou Brothers (Constructions) Ltd και Charilaos Apostolides Public Ltd. Έχει ήδη πληρωθεί το ποσό των 53.252.661,20 Ευρώ προς τους Εργολάβους, που αντιπροσωπεύει το 10% επί της αξίας, ήτοι 48.825.229,00 Ευρώ, που είναι η προκαταβολή της απαραίτητης κινητοποίησης του εργοταξίου και 4.427.372,20 Ευρώ για Φόρο Προστιθέμενης Αξίας.

Η συνολική δαπάνη ολοκλήρωσης και λειτουργίας των δύο νέων Αεροδρομίων μαζί με τον εξοπλισμού έχει υπολογιστεί ότι θα ανέλθει σε περίπου 622 εκατ. Ευρώ, συμπεριλαμβανομένης και της μελλοντικής επέκτασης. Έχουν διευθετηθεί και είναι στη διάθεση της Hermes Airports Ltd., οι πλήρεις χρηματοδοτήσεις του Έργου από τους Τραπεζίτες της Hermes Airports Ltd, Societe Generale, The Royal Bank of Scotland plc., ING Bank N.V., and WestLB AG. Η συνολική χρηματοδότηση ανέρχεται περίπου σε 479 εκατ. Ευρώ, πλέον τόκοι. Δεν δόθηκαν εγγυήσεις.

Ένα έργο σημαντικό για την Κύπρο

Η τελεσφόρηση της Συμφωνίας για την ανέγερση και ανάπτυξη των Αεροδρομίων Λάρνακας και Πάφου είναι ένα σημαντικό και ευτυχές επίτευγμα της Κυβέρνησης και του λαού της Κύπρου. Είναι το αποτέλεσμα μιας γιγαντιαίας πολύχρονης και επίπονης προσπάθειας πολλών ανθρώπων, που πιστεύεται ότι κατέληξε σε μια δίκαιη και ισοζυγισμένη Συμφωνία από την οποία μεγάλος κερδισμένος θα είναι η Κυπριακή Δημοκρατία. Η Κύπρος αποκτά δύο μοντέρνα, υψηλού επιπέδου αεροδρόμια που θα προσφέρουν ποιοτική εξυπηρέτηση στα εκατομμύρια των τουριστών που την επισκέπτονται και στις χιλιάδες Κυπρίους ταξιδιώτες. Όλοι οι συνεταίροι στη Hermes Airports Ltd και οι Τραπεζικοί Οργανισμοί που χρηματοδοτούν το έργο αισθάνονται μεγάλη ικανοποίηση που συμβάλλουν στη δημιουργία αυτού του μεγάλου έργου.

Αναγνωρίζουμε τη σκληρή προσπάθεια και τους κόπους που έχουν καταβάλει οι λειτουργοί του Κράτους, και ιδιαίτερα το Υπουργείο Συγκοινωνιών και Έργων και η Κυβερνητική Ομάδα Διαπραγμάτευσης. Τους ευχαριστούμε για τη συνεργασία και τους συγχαίρουμε.

Από τη πλευρά της Hermes Airports Ltd και της CTC-ARIAirports Ltd θα καταβληθεί κάθε δυνατή προσπάθεια για να υπάρξει μια πλήρης, αρμονική και ομαλή συνεργασία με τους Αξιωματούχους και τους λοιπούς εργαζόμενους του Κράτους στα δύο αεροδρόμια, οι οποίοι θα τυγχάνουν της προσοχής μας, του σεβασμού, της εκτίμησης και αναγνώρισης του έργου που επιτελούν. Financial Agreement

As it has already been announced, the Financial documentation for the construction, development and operation of Larnaka and Pafos Airports for a period of 25 years, with the B.O.T. method was signed in London, on the 12th of May 2006. On the same day the administration of the Larnaka and Pafos Airports was handed over to Hermes Airports Ltd. The signing took place between the Government of the Republic of Cyprus, represented by the Minister of Communications and Works and Mr Harris Thrassou and the Permanent Secretary of the Ministry Mr Makis Constantinides, in the presence of other Government Officials, and by Hermes Airports Ltd represented by the Chairman Mr Nicolas K. Shacolas, the Vise Chairman Mr Daniel Rigout, other officials of the Company and by the Banks financing the project.

Implementation of the Agreements

With the signing of these Concession agreements, all the relevant prerequisites have been fulfilled, thus the Agreement signed on 8th July 2005, was fully implemented with effect from Friday 12th May 2006. Subsequent to this, Hermes Airports Ltd, in cooperation with the Airport Authorities of Larnaka and Pafos Airports, has undertaken the management and operation of both Airports for a period of 25 years.

Participation in Hermes Airports Ltd

Cyprus Trading Corporation Public Ltd participates in the share capital of Hermes Airports Ltd with a percentage of 11,34%. CTC has already deposited the required proportion of the Capital, with the opening of an Irrevocable Letter of Credit amounting to €6.860.700 Euro, payable on the 31st March 2011. CTC is represented in Hermes Airports Ltd by the Executive Chairman Mr Nicolas K. Shacolas, who is also the Chairman of Hermes Airports Ltd.

Commercial Activities

The retail activities of both Airports are totally entrusted to CTC-ARI Airports Ltd, 50% of which belongs to: CTC 20%, Woolworth 20% and N.K. Shacolas (Holdings) Ltd 10%. The remaining 50% of CTC-ARI Airports Ltd, belongs to Aer Rianta International (Middle-East) WLL, a company specialized in the retail sector. CTC-ARI Airports Ltd undertakes the management and operation of the commercial activity for both Airports for the period of 25 years as from the 1st of July 2006. The required initial capital has already been deposited.

Construction of the new Airports

The construction works for the two new airports will commence in a few days. It is expected that the Pafos Airport is to be completed and become operational before the end of 2008 and the new Larnaka Airport before the end of 2009. The construction works of the buildings and the main equipment have already been entrusted to the French Company Bouygues Batiment International, in collaboration with the French Egis Projects S.A. Sub-contracting works were assigned to the Cypriot - owned companies Iacovou Brothers (Constructions) Ltd and Charilaos Apostolides Public Ltd. An amount of €53.252.661,20 Euro has already been paid to the contractors, which represents 10% of the value, that is €48.825.289,00 Euro being the advance payment of the necessary mobilization of the construction site and €4.427.372,20 Euro for VAT. The total cost for completion and operation of the two new Airports, together with the equipment, is estimated to reach approximately €622 million Euro, including the future extensions. The total financing of the project by the bankers of Hermes Airports Ltd, Societe Generale, The Royal Bank of Scotland plc., ING Bank N.V. and WestLB AG, has been finalized and the amount is at the disposal of Hermes Airports Ltd. The total financing at the initial stage amounts to €479 million Euro, plus interest. This amount will be increased, when the extension works will be carried out.

An important project for Cyprus

Finalizing the Agreement for the construction and development of Larnaka and Pafos Airports, is an important and successful achievement of the Government and the people of Cyprus. It is the result of a long, intensive and gigantic effort by many people, which led to what is believed to be a just and balanced Agreement, of which the great beneficiary will be the Republic of Cyprus. Cyprus will acquire two modern, state of the art Airports, which will provide high quality service to the millions of tourists visiting Cyprus and to the thousands of Cypriot travellers. All partners of Hermes Airports Ltd and the Bank Corporations which finance the project, feel great satisfaction for their contribution to this project.

We recognize the hard effort of the Government Officials, and especially the Ministry of Communications and Works and the Government's Negotiating Team. We thank them for their cooperation and we congratulate them.

Hermes Airports Ltd and CTC-ARI Airports Ltd will do their best for a harmonious and smooth cooperation with the Officials and other Government employees at both Airports. Cyprus Trading Corporation Public Limited (CTC), a member of the Shacolas Group of Companies, announces that Hermes Airports Ltd, in which CTC participates with 11,34% has signed today, Friday 8th July 2005, with the Government of the Republic of Cyprus a Contract for the construction and operation of the Larnaka and Pafos airports for 25 years, with the BOT method (Build, Operate, Transfer).

The Agreement was signed on behalf of the Government of Cyprus by the Minister of Communications and Works Mr Harris Thrassou and on behalf of Hermes Airports Ltd by the Chairman Mr Nicolas K. Shacolas and the Vice Chairman Mr Daniel Rigout.

The tender process began in March 2001 and in 2004 Hermes Airports Ltd was declared preferred bidder and commenced negotiations with the Government of Cyprus. The negotiations were concluded with the Agreement signed today.

This is the largest construction contract the Cyprus Government has ever signed, for a total cost of approximately € 550 million Euro. The new Larnaka airport will become operational in approximately 3,5 years, subsequent to the conclusion of the Financial Agreement, whilst the airport at Pafos is expected to be ready in approximately 2,5 years.

The refurbishment and improvement works for the existing terminals will begin immediately, in order to improve operational efficiency throughout the period up to the completion of the new airport buildings. Amongst others, these will include two additional new conveyor belts, extension of the arrivals lounge and other necessary facilities.

CTC along with the Irish Company Aer Rianta have created CTC-ARI Airports Ltd, which will take over the operation and management of the retail activities of the two new airports, for the whole period of the 25 years.

The construction works will be undertaken by the French Company Bouygues in cooperation with the Cypriot owned companies Iacovou Brothers (Construction) Ltd and Charilaos Apostolides Public Ltd. The Canadian Company Vancouver Airport Services along with the French Company Egis Projects and the Nice - Cote d' Azur Chamber of Commerce and Industry, will offer their experience in the operation of the two airports, as well as the Hellenic Mining Group in the areas of maintenance and in the supply of construction materials.

Η Cyprus Trading Corporation Public Limited, μέλος του Ομίλου Εταιρειών Σιακόλα, επιθυμεί να ανακοινώσει ότι η Hermes Airports Ltd, στην οποία συμμετέχει με ποσοστό 11,34%, έχει υπογράψει σήμερα, Παρασκευή 8 Ιουλίου 2005, με την Κυβέρνηση της Κυπριακής Δημοκρατίας το Συμβόλαιο για την ανάπτυξη και διαχείριση των αεροδρομίων Λάρνακας και Πάφου για 25 χρόνια με τη μέθοδο ΒΟΤ (Build, Operate, Transfer).

Εκ μέρους της Κυπριακής Δημοκρατίας τη Συμφωνία υπέγραψε ο Υπουργός Συγκοινωνιών και Έργων κ. Χάρης Θράσου και εκ μέρους της Hermes Airports Ltd ο Πρόεδρός της κ. Νίκος Κ. Σιακόλας και ο Αντιπρόεδρος κ. Daniel Rigout.

Οι προσφορές άρχισαν με την εκδήλωση ενδιαφέροντος το Μάρτιο του 2001 και το 2004 η Hermes Airports Ltd ανακηρύχθηκε προτιμητέος προσφοροδότης και διεξήγαγε διαπραγματεύσεις με την Κυπριακή Κυβέρνηση. Οι διαπραγματεύσεις κατέληξαν στη Συμφωνία που υπεγράφη σήμερα.

Πρόκειται για το μεγαλύτερο κατασκευαστικό συμβόλαιο που υπογράφει η Κυπριακή Δημοκρατία, έναντι συνολικής κατασκευαστικής δαπάνης ύψους περίπου € 550 εκατομμυρίων Ευρώ. Το νέο αεροδρόμιο Λάρνακας θα είναι έτοιμο σε 3,5 χρόνια περίπου, μετά την υπογραφή της Οικονομικής Συμφωνίας, το δε αεροδρόμιο Πάφου αναμένεται να είναι έτοιμο σε 2,5 χρόνια περίπου.

Εν τω μεταξύ αρχίζουν αμέσως τα έργα ανακαίνισης και βελτίωσης των υφιστάμενων κτηρίων, ούτως ώστε να ανταποκρίνονται καλύτερα κατά την περίοδο μέχρι την ολοκλήρωση των νέων αεροδρομίων, που μεταξύ των άλλων συμπεριλαμβάνουν δύο επιπρόσθετους ιμάντες παραλαβής αποσκευών, επέκταση της αίθουσας αφίξεως επιβατών και άλλες αναγκαίες διευκολύνσεις.

Η CTC μαζί με την Ιρλανδική Aer Rianta έχουν δημιουργήσει τη CTC-ARI Airports Ltd, η οποία αναλαμβάνει τη λειτουργία και διαχείριση για όλη την περίοδο των 25 χρόνων των εμπορικών δραστηριοτήτων των δύο νέων αεροδρομίων.

Τις οικοδομικές εργασίες ανέλαβε η Γαλλική Bouygues σε συνεργασία με τις Κυπριακές εταιρείες Αδελφοί Ιακώβου (Κατασκευές) Λτδ και Χαρίλαος Αποστολίδης Δημόσια Λίμιτεδ. Η Καναδική Vancouver Airport Services μαζί με τη Γαλλική Εgis Projects και το Εμπορικό Επιμελητήριο της Νίκαιας θα προσφέρουν τις εμπειρίες τους στη λειτουργία των δύο αεροδρομίων, όπως και η Ελληνική Μεταλλευτική Εταιρεία σε τομείς συντήρησης και προμήθειας οικοδομικών υλικών.
